These Terms of Service govern your use of Soviic. By creating an account or using the Service, you agree to these terms. If you do not agree, do not use Soviic.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CyberSentinel Services LLC (DBA: Soviic) ("Company," "we," "us," or "our"), a Texas limited liability company, governing your access to and use of the Soviic workflow automation platform and related services (collectively, the "Service").
By accessing the Service, clicking "I agree," creating an account, or otherwise using any part of the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
2. Eligibility
- You must be at least 18 years of age to use Soviic
- You must have the legal capacity to enter into a binding agreement
- If you are using Soviic on behalf of a business, you represent that you have authority to bind that business to these Terms
- You must not be prohibited from using the Service under applicable law
3. Account Registration and Security
3.1 Account Creation
To use the full Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
- You are responsible for maintaining the confidentiality of your credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately at [email protected] if you suspect unauthorized access
- We reserve the right to disable accounts that violate these Terms
3.3 One Account Per Person
Each individual may maintain only one personal account. Team accounts are available for multiple users on paid plans as described in Section 5.
4. Acceptable Use
You agree to use Soviic only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You must not:
- Use the Service for any illegal, fraudulent, or unauthorized purpose
- Violate any applicable local, state, national, or international law or regulation
- Transmit any material that is harmful, offensive, defamatory, or infringes third-party rights
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to any part of the Service
- Use automated means to scrape, crawl, or otherwise extract data from the Service without permission
- Resell, sublicense, or otherwise transfer access to the Service without written permission
- Impersonate any person or entity or misrepresent your affiliation with any entity
5. Subscription Plans and Billing
5.1 Plans
Soviic offers the following subscription tiers (subject to change with notice):
- Free: Limited workflows and features at no cost
- Starter: $19/month — expanded workflows and integrations
- Growth: $49/month — unlimited workflows and priority support
- Team: $99/month — unlimited users, custom integrations, dedicated support
5.2 Free Trial
Paid plans include a 14-day free trial. No credit card is required to start a trial on plans where we offer it. At the end of the trial period, you will be charged the applicable subscription fee unless you cancel before the trial ends.
5.3 Billing and Renewal
- Subscriptions are billed monthly or annually as selected at signup
- Subscriptions renew automatically unless cancelled before the renewal date
- All fees are stated in US dollars and are non-refundable except as specified in Section 5.5
- We use Stripe for payment processing — your card information is stored securely by Stripe
5.4 Plan Changes
You may upgrade your plan at any time, effective immediately. Downgrades take effect at the end of the current billing period. If you exceed plan limits, we will notify you and may require an upgrade to continue using the Service.
5.5 Refunds
We do not offer refunds for partial billing periods. If you cancel a paid plan, you retain access through the end of the paid period. We may issue refunds at our sole discretion in exceptional circumstances — contact [email protected].
6. Intellectual Property
6.1 Our Property
The Soviic platform, including all software, design, text, graphics, logos, and other content (excluding User Content), is owned by CyberSentinel Services LLC and protected by copyright, trademark, and other intellectual property laws. The Soviic name and logo are trademarks of CyberSentinel Services LLC.
6.2 Your Content
You retain ownership of any data, workflows, configurations, and content you create or upload to Soviic ("User Content"). By using the Service, you grant us a limited, non-exclusive license to host, store, and process your User Content solely to provide and improve the Service.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual license to use that feedback for any purpose without obligation to you.
7. Third-Party Integrations
Soviic connects with third-party services including Gmail, Slack, Stripe, Google Calendar, and others. Use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, performance, or practices of third-party services. You are responsible for ensuring your use of third-party integrations through Soviic complies with those services' terms.
8. AI Features
Soviic may include AI-assisted features for workflow creation and suggestions. You acknowledge and agree that:
- AI-generated suggestions are advisory and may not always be accurate
- Human review of AI-generated workflows before activation is your responsibility
- AI output does not constitute legal, financial, compliance, or professional advice
- AI features are tools to assist your work — the accuracy of outcomes depends on how you configure and use them
9. Service Availability and Modifications
- We target 99.5% monthly uptime but do not guarantee uninterrupted service
- We may perform scheduled maintenance with advance notice where practical
- We reserve the right to modify, suspend, or discontinue features with reasonable notice
- We will provide at least 30 days' notice before discontinuing the Service entirely
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYBERSENTINEL SERVICES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless CyberSentinel Services LLC, its officers, directors, and agents from and against any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
13.1 By You
You may cancel your account at any time through your account settings or by emailing [email protected]. Cancellation takes effect at the end of the current billing period.
13.2 By Us
We may suspend or terminate your account immediately, without prior notice, for material violation of these Terms, fraudulent activity, or non-payment. We may terminate accounts for cause with 30 days' notice in other circumstances.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination during which you may request export. After 30 days, your data will be deleted in accordance with our Privacy Policy.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Collin County, Texas, and you consent to the jurisdiction of those courts.
Before initiating legal proceedings, you agree to contact us at [email protected] to attempt to resolve the dispute informally for a period of 30 days.
15. Changes to These Terms
We may update these Terms from time to time. For material changes, we will notify you via email or in-app notification at least 30 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Soviic
- Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
- No Waiver: Failure to enforce any provision does not waive the right to enforce it later
- Assignment: We may assign these Terms in connection with a merger or acquisition. You may not assign these Terms without our written consent
- Force Majeure: We are not liable for failures caused by circumstances beyond our reasonable control
