Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you and CyberSentinel Services LLC (DBA: Soviic), a Texas limited liability company, governing your access to and use of the Soviic workflow automation platform (the "Service"). By accessing the Service or creating an account, you agree to these Terms and our Privacy Policy, which is incorporated by reference.

2. Eligibility

• You must be at least 18 years old.
• You must have legal capacity to enter into a binding agreement.
• If you use the Service on behalf of a business, you represent that you have authority to bind that business.
• You must not be prohibited from using the Service under applicable law.

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, current, and complete information when registering, and keep it updated.

3.2 Account Security

You are responsible for the confidentiality of your credentials and for all activity under your account. Notify hello@soviic.com immediately of any suspected unauthorized access. We may disable accounts that violate these Terms.

3.3 One Account Per Person

Each individual may maintain only one personal account. Team accounts are available on paid plans.

4. Acceptable Use

You may use the Service only for lawful purposes, in accordance with these Terms and our Acceptable Use Policy. You must not:

• Use the Service for illegal or fraudulent purposes.
• Violate any applicable law or regulation.
• Transmit harmful, defamatory, or infringing material.
• Interfere with or disrupt the Service.
• Attempt unauthorized access to any system or account.
• Scrape or crawl the Service without permission.
• Resell or sublicense access without written permission.
• Impersonate any person or entity.

5. Subscription Plans and Billing

5.1 Plans

• Free — limited workflows and features at no cost.
• Starter ($19/month) — expanded workflows and integrations.
• Growth ($49/month) — unlimited workflows and priority support.
• Team ($99/month) — unlimited users, custom integrations, and dedicated support.

Plans are subject to change with notice.

5.2 Billing and Renewal

• Subscriptions are billed monthly.
• Billing begins immediately upon subscribing to a paid plan; no free trial is currently offered.
• Subscriptions renew automatically each month unless cancelled before the renewal date.
• All fees are stated in US dollars and are non-refundable except as specified in Section 5.4.
• Stripe processes payments and stores card information securely.

5.3 Plan Changes

• Upgrades take effect immediately.
• Downgrades take effect at the end of the current billing period.
• Exceeding plan limits may require an upgrade to continue using the Service.

5.4 Refunds

We do not provide refunds for partial billing periods. Cancelling a paid plan retains access through the end of the paid period. Refunds may be issued at our sole discretion in exceptional circumstances — contact hello@soviic.com.

6. Intellectual Property

6.1 Our Property

The Soviic platform — including its software, design, text, graphics, and logos, but excluding User Content — is owned by CyberSentinel Services LLC. The Soviic name and logo are trademarks of CyberSentinel Services LLC.

6.2 Your Content

You retain ownership of the data, workflows, configurations, and content you create ("User Content"). You grant us a limited, non-exclusive license to host, store, and process it solely to provide and improve the Service.

6.3 Feedback

Feedback you provide grants us a royalty-free, perpetual license to use it without obligation to you.

7. Third-Party Integrations

Soviic connects with Gmail, Slack, Stripe, Google Calendar, and other services. Your use of those services is subject to their own terms. We are not responsible for their availability, performance, or practices, and you are responsible for ensuring your use complies with those terms.

8. AI Features

Soviic may include AI-assisted features for workflow creation and suggestions. AI-generated suggestions are advisory and may not always be accurate. Human review before activation is your responsibility. AI output does not constitute legal, financial, compliance, or professional advice. AI features are tools to assist your work.

9. Service Availability and Modifications

We target 99.5% monthly uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance where practical. We may modify, suspend, or discontinue features with reasonable notice, and we will provide at least 30 days' notice before discontinuing the Service entirely.

12. Indemnification

You agree to indemnify, defend, and hold harmless CyberSentinel Services LLC, its officers, directors, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of third-party rights.

13. Termination

13.1 By You

You may cancel at any time via account settings or by emailing hello@soviic.com. Cancellation takes effect at the end of the current billing period.

13.2 By Us

We may suspend or terminate your account immediately without notice for material violation of these Terms, fraud, or non-payment. Otherwise, we will provide 30 days' notice for cause.

13.3 Effect of Termination

Your right to use the Service ceases immediately upon termination. We retain your data for 30 days post-termination to allow export requests, then delete it per the Privacy Policy.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas. Disputes will be resolved in the state or federal courts located in Collin County, Texas. Before filing any litigation, contact hello@soviic.com so we can attempt informal resolution for 30 days.

15. Changes to These Terms

We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you disagree with the changes, stop using the Service and cancel your account.

16. General Provisions

• Entire Agreement: these Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and us.
• Severability: if any provision is found unenforceable, the remainder stays in effect.
• No Waiver: failure to enforce a provision is not a waiver of it.
• Assignment: we may assign these Terms in connection with a merger or acquisition; you may not assign them without our written consent.
• Force Majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
